TERMS AND CONDITIONS FOR SERVICES RENDERED

I. Term of Engagement

The provision of Services outlined herein shall initiate upon the date of payment submission and shall proceed until such time as they are halted by the Client.

II. Services to be Rendered

The Contractor shall fulfill the following Services and Deliverable(s):

1. Webpage design and creation,
2. Hosting services,
3. Software licensing,
4. Ongoing website maintenance,
5. Technical Support.

III. Obligations of Contractor

The Contractor shall be obligated to fabricate and initiate the website, inclusive of maintenance of the website editing software, software licensing, website hosting, and perpetual technical support.

IV. Obligations of Client

The Client shall be obligated to contribute to the creative aspects for the website, procure and manage a domain, and execute revisions to the site post-launch. Consulting and project work in a strategic capacity shall be available for an additional fee.

V. Payment Structure

An initial payment constituting fifty percent (50%) of the total fee shall be due at the commencement of the project. The remaining balance of the total fee shall be due upon the launching of the site. A recurring subscription fee shall be required for hosting, software licensing, maintenance, and technical support, necessitating a card to be placed on file for reoccurring billing.

VI. Incidental Expenditures and Billing Procedures

Should the Client elect to license creative materials such as images, videos, iFrames, or other third-party applications, they shall be responsible for the acquisition and ongoing management of said assets and/or applications.

VII. Conditions for Project Completion

The Client retains the right to halt the project and/or the subscription for any reason at their discretion. Upon the launching of the website and again upon suspension of the subscription, the Client shall receive the website files.

The Client shall be accountable for procuring a new hosting environment and facilitating the transfer of the files to said environment. Failure to remit the monthly hosting subscription fee shall result in a halt in services.

VIII. Intellectual Property Rights

The Client shall hold ownership of the creative work, hereinafter referred to as the website, which the Contractor designs for the Client, and any visuals provided by the Contractor. The Client shall assume responsibility for the security and preservation of all work product, inclusive of any essential files. The Contractor is not obligated to retain copies. The Client assures that they possess the lawful right to all elements of text, photographs, and other materials provided, and the Contractor cannot be held accountable for any third-party claims.
